Terms of Service

These Terms of Service govern the use of the Riserify website and the provision of services by Riserify Ltd. By accessing this website or engaging Riserify, you agree to these terms unless a separate signed agreement states otherwise.

If a client agreement, mandate letter, or statement of work is in place, that document governs the commercial relationship where it conflicts with these website terms.

Riserify provides commercial access, deal origination, commercial intelligence, revenue infrastructure, and related advisory and execution support. The precise scope of work, deliverables, timing, and fee structure are defined in the relevant client agreement.

Any descriptions on this website are illustrative. They do not by themselves create a binding obligation to provide a particular service, output, or commercial result.

Clients are responsible for providing accurate and complete information about their business, market, counterparties, compliance constraints, and brand requirements.

Clients are also responsible for ensuring that their use of any work product, communications, target lists, or commercial routes complies with applicable law, regulation, and internal policy.

Fees, billing cadence, and payment terms are set out in the applicable client agreement. Unless otherwise agreed in writing, invoices are issued in accordance with the agreed billing schedule and are payable on receipt.

Riserify may suspend work where invoices remain overdue beyond a reasonable period. Any late payment charges will only apply where stated in the relevant agreement or required by law.

Subject to payment of all applicable fees, client specific work product created during a mandate is licensed or assigned to the client as set out in the governing agreement.

Riserify retains ownership of its underlying methodologies, frameworks, templates, operating approaches, and general know how. Riserify may refer to anonymised mandate experience and non confidential learnings for internal development and general marketing unless restricted by agreement.

Each party must treat non public information received from the other as confidential and use it only for the purpose of the relationship, except where disclosure is required by law, regulation, or court order.

This duty applies to commercial plans, pricing, lists, mandate records, market materials, and any other information that a reasonable person would understand to be confidential.

Riserify provides services on a professional best efforts basis. Unless expressly agreed in writing, Riserify does not guarantee access outcomes, commercial counts, response levels, revenue figures, or the success of any market route.

To the fullest extent permitted by law, Riserify excludes indirect, incidental, and consequential loss. Any direct liability arising from a mandate is limited to the fees paid for the services giving rise to the claim, except where liability cannot lawfully be limited.

Mandate duration, renewal, notice periods, and termination rights are governed by the relevant client agreement. Where no separate agreement exists, either party may discontinue use of the website at any time.

Termination does not affect accrued payment obligations, confidentiality duties, or any rights that are intended to survive the end of the relationship.

These terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction over any dispute arising from these terms or the use of this website, unless applicable law requires otherwise.
